b) Vendor shall indemnify and save PDOC harmless from and against, liability or expense by reason of any claim or suit for alleged infringement of any patent, industrial design, copyright or trademark resulting from or arising in connection with the manufacture, sale, use or other disposition of any of the goods. If such goods constitute an infringement, the Vendor shall, at its own expense, either (i) procure for PDOC the right to continue using such goods without liability for such infringement, or (ii) modify or replace such goods with non-infringing goods accomplishing the same purpose as the replaced goods.
